All prices are quoted in U.S. dollars unless otherwise stated.
The total cost of a project will be communicated before work begins. Depending on the project, payment may be required in full upfront or through agreed milestones.
You agree to pay all amounts specified in your quotation, invoice, or service agreement by the stated due date.
Additional work outside the original project scope, including new features, substantial revisions, additional integrations, or changes requested after approval, may incur additional charges. We will communicate applicable additional charges before proceeding.
Late payments may result in the suspension or delay of services, subject to applicable law and the terms of your agreement.
5. Project Scope and Revisions
Each project will be completed according to the scope and deliverables agreed upon by both parties.
Unless otherwise specified in writing, our proposals will identify the included pages, features, integrations, and revision allowance.
Requests that exceed the agreed scope may require a separate quotation and an extension of the project timeline.
You are responsible for reviewing designs, content, and deliverables and providing timely feedback and approvals.
6. Client Responsibilities
To help us complete your project, you agree to:
Provide accurate project information and requirements.
Supply necessary content, images, branding materials, and business information.
Provide authorized access to relevant accounts, systems, and platforms.
Review deliverables and provide feedback within reasonable timeframes.
Ensure that materials you provide do not infringe another person's intellectual property rights.
Use our services in compliance with applicable laws and regulations.
Delays in providing information, approvals, or access may affect project completion dates.
You are responsible for maintaining appropriate backups of your own information and credentials unless backup services are expressly included in your agreement.
7. Website Ownership and Intellectual Property
Unless otherwise agreed in writing, ownership of custom deliverables created specifically for a client will transfer to the client after full payment of all applicable fees, subject to the following exceptions.
Integrate One LLC retains ownership of its pre-existing materials, reusable code, internal tools, development methods, templates, frameworks, libraries, and general know-how.
Third-party software, open-source components, stock images, fonts, plugins, AI models, and other licensed materials remain subject to their respective licenses and terms.
We may display completed work in our portfolio or marketing materials unless the client and Company agree otherwise in writing or applicable confidentiality obligations prohibit disclosure.
Clients are responsible for obtaining the necessary rights and permissions for content and materials they supply.
8. AI Services and Limitations
Our AI-related services may rely on third-party artificial intelligence providers, APIs, chatbot platforms, and automated systems.
You acknowledge that AI-generated responses and outputs may occasionally be inaccurate, incomplete, outdated, inappropriate, or misleading.
Unless expressly agreed in writing, we do not guarantee that AI systems will always produce accurate answers, identify every qualified lead, eliminate all customer support errors, or operate without interruption.
AI outputs should be reviewed by an appropriate human when accuracy, safety, compliance, or important business decisions are involved.
Our AI services are not a substitute for qualified legal, medical, financial, or other professional advice.
Clients are responsible for reviewing AI-generated content and configuring their systems appropriately for their intended use.
9. Third-Party Services and Integrations
Our services may integrate with third-party providers, including hosting companies, AI API providers, payment processors, CRM platforms, email services, analytics tools, and other business applications.
These third-party services may have their own terms, privacy policies, subscription charges, usage limits, and technical requirements.
Integrate One LLC does not control the independent operation, availability, pricing, or policies of third-party services and cannot guarantee their continued availability or compatibility.
We are not responsible for third-party outages, provider policy changes, discontinued features, or service interruptions outside our reasonable control.
Where third-party charges apply, the client is responsible for those charges unless otherwise agreed in writing.
10. Hosting, Maintenance, and Support
Website hosting, domain registration, ongoing maintenance, software updates, security monitoring, backups, and technical support are included only when expressly stated in the applicable service agreement.
Unless otherwise specified, completing and delivering a website does not automatically include indefinite maintenance or support.
Additional support or maintenance may be purchased under a separate agreement.
Clients who manage their own websites are responsible for maintaining their hosting accounts, domain registrations, credentials, and ongoing software updates.
11. Project Timelines and Delivery
We will make reasonable efforts to complete projects within the estimated timelines communicated to clients.
Project timelines are estimates unless a specific deadline is expressly guaranteed in a written agreement.
Delays may arise from client feedback, missing materials, scope changes, third-party services, technical issues, or events outside our reasonable control.
We will communicate material delays when reasonably practicable and work with the client to determine an appropriate revised timeline.
12. Cancellations, Refunds, and Termination
Clients who wish to cancel a project or service must notify Integrate One LLC in writing using the contact details provided in these Terms.
Cancellation fees, refunds, and payments for completed work will be determined by the applicable service agreement and applicable law.
Where no separate cancellation terms have been agreed, clients remain responsible for authorized work completed and non-cancellable expenses incurred up to the effective cancellation date.
Any prepaid amount exceeding the amounts properly due will be handled in accordance with the applicable agreement and law.
We may suspend or terminate services if a client materially breaches these Terms, fails to pay amounts due, engages in unlawful activity, or misuses our systems, subject to any applicable notice or cure requirements.
Nothing in this section limits any consumer rights or refund rights that cannot legally be waived.
13. Acceptable Use
You agree not to use our website, services, or deliverables to:
Engage in fraudulent, deceptive, or unlawful activity.
Distribute malware or attempt unauthorized access to computer systems.
Violate another person's intellectual property, privacy, or other legal rights.
Collect or process personal information unlawfully.
Send spam or conduct unauthorized marketing.
Create AI systems intended to facilitate illegal activities.
Interfere with the security, availability, or operation of our services.
We may suspend access or decline work where reasonably necessary to address suspected misuse or legal compliance concerns.
14. Privacy and Data Protection
We may collect and process information necessary to respond to inquiries, provide services, process payments, communicate with clients, and maintain our business operations.
Personal information will be handled in accordance with our Privacy Policy and applicable privacy laws.
Clients are responsible for ensuring that any personal information they provide or process through websites, chatbots, or automated workflows is collected and used lawfully.
Where a project involves personal information, sensitive data, or AI processing, the parties may need additional written terms governing data access, security, retention, processing, and responsibilities.
Please refer to our Privacy Policy for additional information about how we handle personal information.
15. Confidentiality
Both parties agree to take reasonable steps to protect confidential information received in connection with a project.
Confidential information may include business plans, credentials, customer information, technical documentation, pricing, and non-public operational information.
Confidentiality obligations do not apply to information that is publicly available through no breach of these Terms, was lawfully known before disclosure, is independently developed, or must be disclosed by law.
Neither party may use the other party's confidential information for purposes unrelated to the agreed services without authorization, except as permitted or required by law.
16. Warranties and Disclaimers
We will perform our services with reasonable care and skill.
Except for commitments expressly stated in a written agreement, our website and services are provided on an "as available" basis to the extent permitted by law.
We do not guarantee specific search engine rankings, website traffic, sales, revenue, lead conversion rates, AI performance, or business outcomes.
We do not guarantee that websites, APIs, integrations, or AI tools will be completely free from errors, interruptions, security vulnerabilities, or compatibility issues.
Nothing in these Terms excludes a warranty or consumer protection that cannot legally be excluded.
17. Limitation of Liability
To the maximum extent permitted by applicable law, Integrate One LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost business opportunities, loss of data, or business interruption arising from the use of our website or services.
To the maximum extent permitted by law, our aggregate liability arising from a particular project will not exceed the fees paid or payable to Integrate One LLC for that project during the twelve months preceding the event giving rise to the claim.
These limitations do not apply where prohibited by law, including liability that cannot legally be excluded or limited. Nothing in this section limits any rights or remedies that applicable law requires us to preserve.
18. Indemnification
To the extent permitted by law, you agree to be responsible for third-party claims arising from materials you supply, your unlawful use of our services, or your material breach of these Terms.
This provision does not require you to indemnify Integrate One LLC for claims caused by our own negligence, misconduct, or other conduct to the extent such an obligation is prohibited by applicable law.
Any additional indemnification obligations must be consistent with the applicable written service agreement and governing law.
19. Website Availability and Security
We make reasonable efforts to maintain the availability and security of our website and services.
However, we cannot guarantee uninterrupted access or complete protection against all cyberattacks, technical failures, malicious activity, or third-party service interruptions.
You agree not to attempt to bypass security measures, disrupt our systems, or access restricted areas without authorization.
20. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, business practices, or legal obligations.
The updated version will be published on our website with a revised effective date.
Changes will apply as permitted by law. Material changes to an existing client engagement may also require written agreement or notice under the applicable service contract.
Your continued use of our website after updated Terms become effective constitutes acceptance of those changes to the extent permitted by law.
21. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.
The parties will make reasonable efforts to resolve disputes through good-faith communication before pursuing formal legal proceedings.
Any legal proceeding will be brought in a court of competent jurisdiction as permitted by applicable law. Nothing in this section limits mandatory consumer protections or rights to bring claims in a legally required venue.
22. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
An invalid provision will be interpreted or limited only to the extent necessary to make it enforceable where legally permitted.
23. No Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision in the future.
Any waiver must be made in writing by the party granting it, except where applicable law provides otherwise.
24. Entire Agreement
These Terms, together with any applicable quotation, proposal, invoice, service agreement, and incorporated policies, form the agreement governing your use of our website and the relevant services.
If a signed service agreement conflicts with these general Terms, the signed agreement will control for the specific project to the extent stated in that agreement.
